Terms and Conditions

Last updated October 21, 2026

These Terms and Conditions are the agreement between Mod AI Inc. and the businesses that use Mod Seller IQ. This revised version takes effect when adopted and communicated in accordance with Section 22. It does not retroactively amend existing subscriptions.

1. Acceptance of Terms

These Terms and Conditions (“Terms”) constitute an agreement between Mod AI Inc. (“Company,” “we,” “us,” or “our”) and the individual or organization purchasing or using Mod Seller IQ (“Customer,” “you,” or “your”). Mod Seller IQ is referred to as “Seller IQ,” the “Platform” or the “Services.”

By affirmatively accepting these Terms during registration or checkout, or signing an order that incorporates them, you agree to be bound by them. We will make these Terms available for you to retain. Our Privacy Policy describes our handling of personal information and must be made available with these Terms.

If you act for a brokerage, real estate team or other business, you represent that you have authority to bind that organization. The organization is the Customer and is responsible for its authorized users’ use of the Services.

The Platform is intended for professional business use by individuals aged 18 or older. It is not a consumer subscription or a brokerage representation agreement. Mod AI Inc. provides technology services and does not act as the Customer’s real estate brokerage, agent, lender or appraiser through these Services.

Where mandatory French-language contracting requirements apply, we will provide a French version of these Terms and required related documents before seeking an express choice to contract in another language. An English-language acceptance alone does not waive those requirements. Any applicable legal exception must be assessed separately.

2. Description of Services

Mod Seller IQ is a real estate intelligence, predictive analytics and homeowner engagement platform designed to help real estate professionals identify potential selling opportunities within their databases.

Depending on the subscription plan and optional services purchased, features may include:

  • Property and homeowner data enrichment.
  • Automated property valuation estimates.
  • Estimated mortgage balances and homeowner equity insights.
  • AI-generated seller-intent scoring and predictive analytics.
  • Homeowner engagement tracking and notifications.
  • Automated property valuation reports.
  • AI-assisted email marketing and follow-up.
  • Lead capture and appointment scheduling.
  • CRM integrations, including Follow Up Boss.
  • AI voice calling and other optional services.
  • Reporting, analytics and database management.

Services are available for supported properties and markets in the United States and Canada.

Geographic availability does not guarantee complete property-data coverage in every state, province, municipality or postal code.

Features, data availability, usage allowances and integrations may vary by subscription plan and geographic market.

Mod AI Inc. may update, improve or modify Platform functionality. We will provide at least 30 days’ advance notice of a material reduction in paid core functionality, except where an earlier change is reasonably necessary for legal, licensing or security reasons. The remedies in Section 20 apply to qualifying reductions and discontinuation. A listed optional or future feature is included only if expressly identified as available and included in the Customer’s order; descriptions of future development are not delivery commitments.

3. Subscription Plans Pricing and Payment

3.1 Orders and billing terms

All prices are stated in United States dollars (USD) unless otherwise specified. The checkout summary, accepted quote or other written order (“Order”) identifies the purchased plan, billing term, included allowances, setup fees and any authorized additional charges. Monthly subscriptions are billed for each monthly term. Annual subscriptions are billed upfront for each 12-month term. Applicable taxes are additional unless expressly included.

Subscriptions automatically renew for the same billing term unless cancelled under Section 4. The renewal date is shown in the billing account or Order. A pricing page alone does not change an existing Order.

By purchasing, you authorize Mod AI Inc. and its designated payment processor to charge the payment method provided for recurring subscription fees, applicable taxes, purchased add-ons, authorized usage charges and other expressly accepted charges. Setup or onboarding fees are chargeable only when disclosed in the Order.

3.2 Records and usage allowances

A plan’s lead allowance is the maximum number of lead records imported into the Customer’s Seller IQ account, whether or not those leads are enrolled in reports, monitored, enriched, matched to a property or contacted. Contacts that remain only in a connected CRM and are not imported into Seller IQ do not count. Duplicate entries count as separate imported records unless merged or removed. An unsuccessful property match or unavailable enrichment does not, by itself, remove an imported lead from the allowance.

The Platform prevents imports that would exceed the purchased lead allowance. To import more leads, the Customer must first purchase an available capacity add-on or authorize a plan upgrade. Additional lead capacity is not automatically purchased or billed. The applicable price, capacity and billing terms will be disclosed before purchase. Removing a lead does not refund previously incurred fees or reverse consumed communications usage.

Email, text, call and other consumption allowances reset at the beginning of each monthly subscription cycle, including within an annual term, unless the Order specifies otherwise. An email allowance measures messages submitted for sending, including messages subsequently rejected or bounced; it does not guarantee delivery, opening or a response. Provider-billable text and voice units, if offered, must be disclosed in the Order before activation. Failed internal processing that is not submitted to a communications provider does not consume a communications allowance.

Unless expressly stated otherwise, unused consumption allowances do not carry forward. Included agent profiles, brands, seats, imported leads and communications are separate allowances and are not interchangeable. Moving to a higher plan, purchasing additional capacity or changing billing terms requires Customer authorization, with the effective date and any prorated charge disclosed before purchase.

3.3 Additional usage

We will not automatically upgrade a subscription or charge overages without the Customer’s prior authorization. Authorization may be given in an Order or through a billing control that clearly identifies the applicable rate and any spending limit. Without authorization, we will block lead imports above the purchased lead allowance and may pause affected processing when a separate consumption allowance is reached. Customers can request a usage explanation through support@modselleriq.com.

3.4 Price changes

We may change subscription pricing on at least 30 days’ advance written notice. A change applies only from a future renewal and does not affect an already-paid term. If the notice period would extend beyond the next renewal, the change will apply no earlier than a subsequent renewal after the notice period expires. Customers may cancel renewal before the changed price applies.

4. Cancellation and Refund Policy

4.1 How to cancel

Customers may cancel automatic renewal at any time using available account billing controls or emailing support@modselleriq.com from an authorized account contact. Identify the account and clearly request cancellation; do not send passwords or full payment-card details. We may reasonably verify authority to protect the account.

Cancellation must be submitted before the next renewal is processed. Renewal timing follows the billing account or Order; where no time zone is specified, America/Toronto time applies. For a verifiable email request, the receipt time in our support system determines whether the request preceded renewal. A subsequent support response does not move that receipt time. We will acknowledge cancellation and confirm the last day of paid access. If a renewal is charged after a timely valid cancellation, we will reverse that renewal charge.

4.2 Access and pending activity

Cancellation stops future renewals and ordinarily leaves access active until the end of the paid term, provided the account remains in good standing. It does not automatically stop campaigns during that remaining term. Customers must pause campaigns or ask support to stop them if immediate cessation is intended. We will stop new automated activity when access ends; activity already submitted to an external provider may not be recallable.

4.3 Monthly and annual subscriptions

Monthly subscriptions remain active until the end of the current paid monthly term. Annual subscriptions remain active until the end of the prepaid 12-month term. Cancellation of renewal alone does not entitle the Customer to a refund for unused time.

4.4 Refunds and final charges

Subscription payments, disclosed setup fees, purchased add-ons and authorized usage charges are non-refundable except where required by law, covered by Section 20, charged in error or expressly agreed otherwise in writing. Cancellation does not remove payment obligations incurred before services stop. Authorized usage incurred before cancellation or termination may be billed afterward when provider records become available; no new subscription renewal may be charged following timely cancellation unless the Customer reactivates it.

Nothing in these Terms limits non-waivable cancellation, refund or other statutory rights.

5. Customer Data Ownership and Authorization

“Customer Data” means contact records, CRM information, account-supplied content and other information the Customer or its authorized users submit or connect to Seller IQ. As between the parties, the Customer retains its existing rights in Customer Data. Personal information remains subject to individuals’ legal rights; this clause does not create ownership rights that the Customer does not otherwise have.

By supplying or connecting Customer Data, the Customer represents that it has lawful authority to possess it, instruct the relevant processing, connect third-party accounts and conduct the intended communications. This includes obtaining required consent or another legally available authorization and providing required privacy notices for enrichment, profiling, report engagement tracking and automated follow-up. Connecting a CRM or importing a list does not establish consent for a new purpose.

The Customer grants Mod AI Inc. a limited, non-exclusive right to access, process, store and transmit Customer Data to provide and secure the Services, carry out lawful Customer instructions and meet legal obligations. Schedule A further governs personal information processed on the Customer’s behalf.

Mod AI Inc. does not acquire ownership of Customer-uploaded databases. We will not sell those databases, use them to prospect for Mod AI’s own services or contact imported homeowners for our own marketing. We use Customer Data only to deliver, support and secure the Services and meet legal obligations. We do not use Customer Data to train general-purpose or shared AI models, and we do not permit AI providers processing it on our behalf to use it for their independent model training. We do not use advertising pixels or disclose identifiable visitor or homeowner information to advertising platforms for advertising, retargeting or cross-context behavioural advertising. Processing Customer Data through an AI model to provide a requested output is permitted subject to Schedule A.

We may use information that has been lawfully aggregated and de-identified to measure service performance and improve the Services, provided it cannot reasonably identify a person or Customer and we do not attempt re-identification. Merely removing names is not sufficient if the remaining information is reasonably identifiable.

Third-party enrichment, licensed property information and underlying Platform technology are governed by Sections 6, 10 and 13; they are not transferred into Customer ownership by this section.

6. Property Data, Mortgage Information and Valuation Disclaimer

Seller IQ uses information obtained from public records, licensed third-party providers and other available data sources.

This information may include:

  • Property ownership and transaction history.
  • Estimated market values.
  • Estimated mortgage balances and available equity.
  • Property ownership duration.
  • Estimated mortgage renewal timing.
  • Neighborhood turnover and market activity.
  • Homeowner engagement with property reports.
  • AI-generated seller-intent indicators.

All valuations, mortgage balances, equity calculations, renewal estimates and property insights are estimates only.

Seller IQ does not guarantee that information is accurate, complete, current or available for every property.

Estimated mortgage information does not establish an individual’s actual debt, financial circumstances or mortgage obligations.

Property valuations are not certified appraisals, and Seller IQ does not provide legal, financial, lending or professional appraisal advice.

Customers are responsible for independently verifying information before using it in client advice, marketing, negotiations or real estate transactions.

To the maximum extent permitted by applicable law, Mod AI Inc. is not responsible for losses resulting from reliance on inaccurate, incomplete or outdated third-party property information.

7. AI Seller-Intent Scoring and Predictive Analytics

Seller IQ uses artificial intelligence, statistical analysis and available property information to identify indicators that may suggest a homeowner could be considering selling.

Predictions may consider factors such as ownership duration, estimated equity, mortgage-related indicators, neighborhood turnover, market conditions and homeowner engagement.

Seller-intent scores represent predictive indicators, not verified homeowner intentions.

A high seller-intent score does not establish that a homeowner:

  • Intends to sell their property.
  • Has agreed to be contacted.
  • Is experiencing financial difficulty.
  • Will list a property within a particular period.
  • Will become a customer or complete a transaction.

Seller IQ does not guarantee the accuracy of any individual prediction or that a score will result in a listing appointment, sale or commission.

Customers remain responsible for professional judgment, independent verification and appropriate use of predictive information.

The Services, reports, scores and underlying data must not be used, in whole or in part, to determine eligibility for credit, insurance, employment, tenancy, housing assistance or another regulated eligibility purpose, or for unlawful housing discrimination. The Services are offered for lawful real estate marketing and engagement, not consumer-reporting or eligibility screening. Customers must not represent outputs as credit reports, verified financial profiles or evidence of financial distress. A disclaimer alone does not alter obligations that may apply to actual data or uses.

8. Marketing, Automated Communications and Regulatory Compliance

Seller IQ may provide automated email, AI calling and other communication tools.

Customers are responsible for ensuring that their use of these tools complies with all applicable laws and regulations in the United States and Canada.

These may include, where applicable:

  • Canada’s Anti-Spam Legislation (CASL).
  • Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA).
  • Applicable Canadian provincial privacy legislation.
  • The United States CAN-SPAM Act.
  • The Telephone Consumer Protection Act (TCPA).
  • United States federal and state telemarketing requirements.
  • National and applicable state or provincial do-not-call requirements.
  • Applicable real estate advertising and licensing regulations.

Customers are responsible for obtaining and maintaining legally sufficient consent or another valid legal basis for communications.

Customers must honor unsubscribe requests, opt-outs, do-not-call requirements and other legally mandated communication preferences.

The presence of a homeowner’s contact information within Seller IQ does not constitute permission to contact that individual.

Where AI calling is enabled, Customers must comply with applicable requirements for automated calls, AI-generated voices, call recording, disclosures and consent.

Seller IQ may provide compliance-supporting features, but these do not replace the Customer’s legal obligations or constitute legal advice.

Customers must retain appropriate records supporting consent or other permitted communications and supply relevant evidence upon reasonable request to investigate a complaint or compliance concern. Opening a report, clicking a link or receiving a high seller-intent score does not, by itself, authorize marketing contact.

Customers must not override or evade suppression controls. Where the Platform receives an unsubscribe or other opt-out, we will apply it to the affected communications within applicable legal time limits. Customers must ensure that preferences recorded in their CRM or other systems are communicated to Seller IQ and must not assume an integration synchronizes every preference unless that function is expressly supported.

Mod AI Inc. may pause communications while investigating suspected unlawful or unauthorized activity. Allocating responsibilities to the Customer does not exclude Mod AI Inc.’s own obligations under applicable privacy, communications or consumer protection laws.

9. AI-Generated Content

The Platform may use artificial intelligence to generate marketing communications, property summaries, reports, suggested responses and other content.

AI-generated material may contain errors, omissions or inaccurate assumptions.

Customers are responsible for ensuring that content they approve, configure or distribute is appropriate, accurate and legally compliant.

For automated communications, Customers remain responsible for lawful campaign configuration, intended recipients, messaging instructions and required consent.

By enabling an automated workflow, the Customer authorizes Mod AI Inc. to generate and send communications on the Customer’s behalf within the selected channels, recipient criteria, timing, instructions and purchased allowances. Individual messages may be sent without separate approval if the Customer selects that mode. The Customer can disable future automation through available controls or support; messages already submitted to a provider may not be recallable.

Customers must accurately identify the represented agent or brokerage, configure required sender and contact details, and avoid misleading recipients about the identity or nature of an AI assistant. Legally required AI, recording and marketing disclosures must be included. Mod AI Inc. remains responsible for its own legal obligations and for following lawful Customer instructions.

Mod AI Inc. does not guarantee that AI-generated content will be error-free or appropriate for every situation.

10. Third-Party Services and Integrations

Seller IQ may connect with third-party services, including:

  • Follow Up Boss and other CRM platforms.
  • Property-data and valuation providers.
  • Email and telecommunications providers.
  • Artificial intelligence service providers.
  • Payment processors.
  • Hosting, analytics and reporting services.

Third-party accounts purchased or connected directly by the Customer may be governed by that provider’s own terms, privacy policies and restrictions. Providers selected by Mod AI Inc. to process Customer personal information on its behalf are also subject to Schedule A; their separate existence does not remove Mod AI Inc.’s contractual responsibilities for that processing.

Material data-use restrictions affecting permitted reports, exports, distribution or retention will be made available before the affected feature or dataset is purchased or activated. Mod AI Inc. will not promise broader data rights than its provider licences allow. A later provider restriction materially reducing a paid core feature is subject to Section 20.

Mod AI Inc. does not guarantee uninterrupted availability or compatibility with third-party services.

Integrations may change or become unavailable because of third-party API modifications, provider restrictions, licensing changes or other circumstances beyond our reasonable control.

Customers are responsible for maintaining any required third-party subscriptions, permissions and account access.

11. Account Access and Security

Customers are responsible for protecting their account credentials and managing access by employees, agents, contractors and authorized users.

Customers must promptly report suspected unauthorized account activity.

Customers may not share account access with unrelated organizations or circumvent subscription and licensing restrictions.

Mod AI Inc. may temporarily restrict access when reasonably necessary to protect account security or prevent unauthorized use.

12. Acceptable Use

Customers agree not to use Seller IQ to:

  • Conduct unlawful or unauthorized marketing.
  • Harass, threaten or discriminate against individuals.
  • Violate privacy, fair housing or consumer protection laws.
  • Misrepresent property values or homeowner financial information.
  • Use predictive scores for prohibited discriminatory or eligibility decisions.
  • Resell or redistribute licensed property information without authorization.
  • Scrape, copy or reverse engineer Platform technology.
  • Introduce malicious software or compromise Platform security.
  • Circumvent subscription limits or usage controls.
  • Access or use data for purposes prohibited by applicable data-provider licensing terms.

Material violations may result in suspension or termination.

13. Intellectual Property

All rights, title and interest in Seller IQ’s software, algorithms, predictive models, interfaces, trademarks, branding and proprietary technology belong to Mod AI Inc. or its licensors.

Customers receive a limited, non-exclusive, non-transferable right to access and use the Platform during an active subscription.

Customers may use reports and outputs for the lawful real estate business purposes permitted by their Order and applicable disclosed third-party licences, including delivery of reports to the intended homeowner where the purchased feature permits it. The right to export Customer-supplied data is distinct from any right to export, redistribute or retain licensed enrichment data.

Customers must not distribute outputs as certified appraisals or remove required estimate labels, data-source notices or licence restrictions. Use of outputs after subscription termination is permitted only to the extent allowed by the applicable licence and law. Mod AI Inc. does not guarantee exclusive rights or copyright protection in AI-generated material.

No ownership rights in the Platform’s underlying technology are transferred to Customers.

14. Service Availability and Technical Support

Mod AI Inc. will use commercially reasonable efforts to maintain Platform availability and functionality.

However, uninterrupted service is not guaranteed.

Temporary interruptions may occur because of maintenance, system upgrades, third-party outages, data-provider issues or circumstances beyond our reasonable control.

Unless a separate written service-level agreement applies, Mod AI Inc. does not guarantee a specific uptime percentage, support response time or resolution period.

Technical support is provided through designated support channels according to the applicable subscription plan.

15. Privacy Security and Data Retention

Mod AI Inc. processes personal information in accordance with its Privacy Policy, Schedule A and applicable law. Schedule A addresses processing on the Customer’s behalf; the Privacy Policy also describes processing for Mod AI Inc.’s own account administration, billing, security and legal purposes.

We will maintain reasonable administrative, technical and organizational safeguards appropriate to the information and processing risks. No electronic system can be guaranteed completely secure. Security incidents, subprocessors, cross-border processing and assistance with privacy requests are addressed in Schedule A.

Customers should export available Customer Data before paid access ends or before choosing to delete their account. If a Customer cancels without choosing account deletion, we will retain its Customer Data for 90 days after paid subscription access ends. During that period, an authorized account contact may request an export of available Customer-supplied data through support@modselleriq.com; licensed enrichment data and proprietary outputs are exportable only where permitted by applicable licences. After the 90-day period, we will delete or irreversibly anonymize the Customer Data in active service systems, subject to legally required retention. The 90-day period does not extend paid Platform access or authorize continued campaigns. Cancelling a subscription and deleting an account are separate actions. Cancellation stops renewal under Section 4; it does not itself constitute a request for immediate deletion. The account-deletion option allows an authorized Customer to delete the account. Deleting the account immediately deactivates it: access ends, future subscription renewals stop and new automated activity stops. Valid charges already incurred remain payable, and messages already submitted to an external provider may not be recallable.

An authorized Customer may reactivate a deleted account within 30 days after deletion. Reactivation restores the account and its Customer Data; paid features resume only with an active subscription. If the account is not reactivated within those 30 days, we will permanently delete account information and Customer Data from active service systems, subject to information we are legally required to retain. Customers should export their data before deleting the account; permanently deleted information can no longer be exported. We may verify authority before accepting a deletion or reactivation instruction. A deletion request does not itself create a refund entitlement.

Permanent deletion from active systems does not promise instantaneous erasure from protected backups or systems controlled independently by third parties. Any residual backup copies remain protected and unavailable for routine use until removed through the applicable backup rotation. If a backup is restored, applicable deletion instructions must be reapplied. We will instruct subprocessors to delete affected information as required by our agreements and applicable law. Deleting Seller IQ data does not delete records held in the Customer’s own CRM or other independent accounts.

Any retained billing, tax, legal or regulatory records will be limited to what applicable law requires. A minimal suppression record may be retained where legally necessary to honour opt-outs. Retained information must not be used to resume marketing. The Privacy Policy, disclosed retention periods and operational deletion practices must remain consistent with these Terms.

Nothing in these Terms overrides legally required privacy rights, access rights, deletion obligations or incident notifications.

16. No Guarantee of Business Results

Seller IQ is designed to assist real estate professionals with identifying opportunities and improving database engagement.

Mod AI Inc. does not guarantee:

  • A minimum number of qualified leads.
  • A specific number of listing appointments.
  • A particular conversion rate.
  • A minimum number of completed transactions.
  • Increased revenue or commissions.
  • A specific return on investment.
  • Accuracy of individual seller-intent predictions.

Results depend on factors including database quality, market conditions, consumer behavior and Customer follow-up practices.

17. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Platform and Services are provided on an “as available” basis.

Except for warranties expressly provided in writing or required by law, Mod AI Inc. disclaims implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Nothing in these Terms excludes warranties or statutory protections that cannot lawfully be excluded.

18. Limitation of Liability

To the maximum extent permitted by applicable law, Mod AI Inc. and its officers, employees, contractors and licensors shall not be liable for indirect, incidental, special or consequential damages, including lost profits, commissions, business opportunities or anticipated revenue.

To the maximum extent permitted by law, Mod AI Inc.’s total aggregate liability arising from or relating to the Services shall not exceed the total fees paid by the Customer during the 12 months immediately preceding the event giving rise to the claim.

Nothing in this Agreement excludes or limits liability that cannot legally be excluded or limited.

19. Customer Indemnification

To the extent permitted by law, Customers agree to indemnify and hold harmless Mod AI Inc., its officers, employees and contractors against third-party claims, damages, liabilities and reasonable legal expenses arising from:

  • Unlawful use of Customer-provided data.
  • Unauthorized or unlawful communications initiated by the Customer.
  • Customer violations of privacy, telemarketing, real estate or consumer protection laws.
  • Misuse of property information or predictive analytics.
  • Material breaches of these Terms.

This obligation does not apply to the extent a claim arises from Mod AI Inc.’s own negligence, misconduct or breach of these Terms or its legal obligations.

Mod AI Inc. will promptly notify the Customer of a covered claim and provide reasonable cooperation at the Customer’s expense. The Customer may control the defence with competent counsel reasonably acceptable to Mod AI Inc. No settlement may admit fault by Mod AI Inc., impose non-monetary obligations on it or fail to release it from the covered claim without its prior written consent, not to be unreasonably withheld. Mod AI Inc. may participate through separate counsel at its own expense, except where a material conflict requires a different arrangement.

20. Suspension Termination and Service Discontinuation

Mod AI Inc. may suspend or terminate affected Services for non-payment, a material breach, unlawful activity or a material security or compliance risk. Where reasonably practicable, we will give written notice describing the issue and at least 10 days to remedy a remediable breach. Immediate action is permitted where reasonably necessary to protect individuals, data, systems or legal compliance. We will limit a suspension to affected functions where reasonably practicable and restore access when its basis is resolved.

If Mod AI Inc. permanently discontinues a paid Service, terminates a subscription for its convenience without Customer breach, or materially removes paid core functionality without a reasonably comparable replacement, the Customer may terminate the affected Service and receive a prorated refund of prepaid subscription fees for the unused affected portion. For a material reduction, the Customer should request this remedy within 30 days after receiving notice or, if no notice was given, after reasonably discovering it. Mod AI Inc. will explain the calculation; a refund applies to the affected Service rather than unrelated services that remain available.

The same termination and refund remedy applies if Mod AI Inc. materially breaches these Terms and fails to remedy a remediable breach within 30 days after written notice from the Customer. Non-waivable statutory remedies remain available.

Refunds under this section do not include consumed usage, delivered setup work or unrelated services. Termination does not eliminate valid outstanding charges, data return and deletion duties, or provisions intended by their nature to survive, including intellectual property, payment, confidentiality of retained personal information, liability, indemnification and dispute provisions.

21. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.

The parties agree to make reasonable efforts to resolve disputes through written communication before commencing formal proceedings.

Subject to applicable mandatory laws and jurisdictional requirements, disputes arising from these Terms shall be submitted to the courts located in Ontario, Canada.

22. Changes to These Terms and Notices

Mod AI Inc. may update these Terms to reflect changes in Services, technology, law or business operations. We will give at least 30 days’ advance written notice of material changes. Earlier implementation is permitted only to the extent reasonably necessary to comply with law or address an urgent security risk, with notice as soon as reasonably practicable.

Material changes that substantially reduce a Customer’s contractual rights or increase its obligations during a prepaid term require the Customer’s affirmative agreement or will apply only at renewal after proper notice. A necessary earlier change that materially removes paid core functionality remains subject to Section 20. We will obtain express acceptance where legally required; continued use alone does not override that requirement.

Notices will be sent to the current account email, with additional in-product notice where appropriate. The Customer must keep that address current. Cancellation, complaints, legal notices and requests under Schedule A may be sent to support@modselleriq.com. Notices do not replace formal service of court documents or any mandatory statutory procedure.

23. Entire Agreement Order of Precedence and Severability

These Terms, including Schedule A, the accepted Order and any separately executed agreement concerning the Services form the agreement between the Customer and Mod AI Inc. The Privacy Policy explains personal-information practices and does not expand permitted processing beyond this agreement or applicable law.

If documents conflict, the following order applies: a separately signed agreement that expressly identifies the provision it overrides; Schedule A for processing of Customer personal information; the Order for expressly agreed commercial terms and usage allowances; and these Terms for other matters. Mandatory law always prevails. A marketing page or informal support statement does not override an accepted Order or these Terms.

An Order does not silently waive safeguards or expand personal-information uses. A separately signed data-processing agreement controls over Schedule A only to the extent it expressly addresses the same subject and remains lawful.

If a provision is unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver of future enforcement.

Schedule A: Customer Personal Information Processing

A1 Scope and roles

This schedule applies where Mod AI Inc. processes personal information on the Customer’s behalf. The Customer determines its lawful business purposes and instructions; Mod AI Inc. acts as its service provider or processor to the extent those roles apply under relevant law. Legal roles depend on actual activities and cannot be changed solely by a label in these Terms. Processing performed for Mod AI Inc.’s independent account administration, billing, security or legal purposes is described in the Privacy Policy and remains subject to applicable law.

A2 Processing details and duration

Processing may include receipt, hosting, organization, property matching, licensed enrichment, valuation and scoring, report generation, authorized communications, engagement measurement, CRM synchronization, support, export and deletion. It occurs for the subscription term and the return, deletion and lawful retention arrangements in Section 15.

Individuals may include homeowners, prospects, clients, agents and authorized users. Information may include names, business and personal contact details, addresses, property identifiers and attributes, transaction history, estimated ownership, mortgage and equity information, engagement events, communications, consent and preference records, and account and integration identifiers. Actual categories depend on the activated features and lawful data availability. Customers must not upload payment-card data, government identity documents, health records or other unrelated sensitive information into contact notes or marketing datasets.

A3 Instructions and confidentiality

We will process Customer personal information only on documented lawful instructions in this agreement, the Order and authorized Platform settings, unless legally required otherwise. If law requires different processing, we will inform the Customer unless prohibited. We will notify the Customer if we reasonably believe an instruction violates applicable privacy law and may pause that instruction while it is resolved. Personnel with access must be bound by appropriate confidentiality obligations, and access must be limited to legitimate service needs.

A4 Security

We will maintain safeguards appropriate to the sensitivity and risks of the information, including access controls, protection of credentials, secure transmission, vulnerability management and incident-response procedures. Specific certifications, residency guarantees and recovery commitments apply only if expressly agreed in writing. Customers remain responsible for their users, lawful configuration and security of Customer-controlled systems.

A5 Subprocessors and locations

The Customer authorizes use of subprocessors reasonably necessary for hosting, AI processing, communications, support and other contracted functions, subject to appropriate written data-protection obligations. Mod AI Inc. remains responsible for their processing on its behalf under this agreement. Before initial processing, we will make available a current list identifying material subprocessors, their functions and relevant processing countries, and provide it on request through support@modselleriq.com.

We will give at least 30 days’ notice of a material new subprocessor where practicable. Urgent security or service-continuity substitutions may occur earlier with prompt notice. A Customer may raise a reasonable, documented data-protection objection within 15 days of notice. We will work in good faith on a reasonable alternative. If a material objection cannot reasonably be resolved and the affected Service cannot be provided without that subprocessor, the Customer may terminate that Service and receive a refund of unused prepaid subscription fees for it.

A6 Cross-border processing

Processing may occur outside the Customer’s province, state or country only as disclosed in the applicable processing information and permitted by law. We will use required contractual or other safeguards and reasonably assist with legally required transfer assessments. Where law requires a specific assessment or agreement before a transfer, that requirement must be completed before the affected processing begins. These Terms do not promise that all information remains in Canada or the United States.

A7 Security incidents

We will notify the Customer without undue delay after becoming aware of a confirmed security incident involving unauthorized access to, acquisition, disclosure, loss or alteration of Customer personal information. We will provide available information about the nature and scope, affected information, likely consequences, mitigation and a contact for follow-up, supplementing it as the investigation proceeds. We will take reasonable containment and remediation steps and cooperate with legally required notifications. This contractual notice is separate from, and does not replace or delay, statutory reporting or notification duties. Unsuccessful attempts without compromise do not alone require Customer notification.

A8 Individual rights and regulatory cooperation

We will reasonably assist the Customer with applicable requests for access, correction, deletion, objection and other privacy rights, and with required assessments and regulatory inquiries relevant to our processing. Requests received directly about Customer-controlled processing will be referred to the Customer where lawful, unless we must respond directly. We will not charge for assistance required to remedy our breach; any charge for exceptional additional assistance must be agreed in advance.

A9 Restrictions on secondary use

We will not sell Customer personal information or share it for cross-context behavioural advertising, combine it for an unrelated independent marketing purpose, or use it beyond the purposes permitted by this agreement and applicable law. The model-training restrictions in Section 5 apply to subprocessors processing on our behalf. Any separately authorized new purpose must also satisfy applicable notice, consent and other legal requirements.

A10 Return deletion and retained information

Section 15 governs exports, account deactivation, the 30-day reactivation period and permanent active-system deletion following an account-deletion instruction, protected backup retention and necessary legal or suppression records. Retained personal information remains subject to this schedule and must not be used for unrelated purposes. On reasonable request, we will confirm completion of deletion and identify any lawful retention exception.

A11 Accountability information

We will provide information reasonably necessary to demonstrate compliance with this schedule, using relevant policies, summaries or independent reports where available. Where applicable law or a separately agreed obligation requires further assessment or audit, the parties will arrange proportionate access with reasonable notice, confidentiality and security protections. Access must not disclose another customer’s information or compromise systems, and these arrangements must not prevent a legally required audit or regulator access.

A12 Responsibility for implementation
